We drafted Software-as-a-Service contracts for the provision of ViewPoint’s software products to its clients via a number of implementation model options.  We also drafted a data processing addendum to supplement ViewPoint’s existing software licence agreements with clients to enable compliance with GDPR requirements for engaging processors.  These tasks involved understanding ViewPoint’s software products, underlying IT infrastructure and data flows and advising on the personal data processing implications arising from the provision of the software products as a service and related support services by ViewPoint and its group companies.  Due to international nature of ViewPoint and its group companies, its clients and the data processing enabled by the software products, this involved advising on cross-border processing of personal data.    We are currently assisting with an IP assignment and a reseller agreement in relation to the software products.

“We started working with ClaydenLaw in June 2018.  We were looking for a comprehensive relationship with a law firm capable of delivering a full range of commercial legal services in relation to ViewPoint’s market-leading software for business products.  Since then I have worked closely with Hannah and have been deeply impressed with her extensive knowledge of SaaS contracting issues and the implications of data protection law for providers of cloud-based SaaS products.  Hannah has proven to be highly professional and proactive, providing quick turn-around times and exemplary quality work.”
