AgilityWorks has a cloud based ‘Software as a Service’ technology which integrates with a global healthcare corporation’s SAP databases – through web based apps and native apps. A customer of theirs wanted to roll out this technology globally across its group. However, they wanted AgilityWorks to run this technology within the customer’s own “private cloud”. This required a different approach to be adopted for AW’s contracting model, and that’s when they approached us.


We had to consider a number of key issues for AgilityWorks including the protection of its own proprietary technology in a customer’s environment and ensuring that is it only liable for service issues which are within its own control (i.e not to do with the client environment).

As a result of this we had to address concerns about long term security of provision (i.e. what happens if AgilityWorks goes out of business). Given the size of the customer, the profile and exposure which a successful deployment is likely to provide to the client, and because the customer was the first to whom AgilityWorks had provided this service and technology, the stakes were therefore high.

Due to our extensive experience in the industry, we were able to handle the negotiation and were trusted with a complex and important transaction.
